1.                  This Advertising Contract is effective on the date shown above for a period of three (3) years at a lease fee of One-Thousand Two-Hundred Fifty Dollars ($1,250).

 

2.         School agrees that the lease fee shown above shall entitle Sponsor to place one sign (as described below) from April 1through July 31 of each contract year (2009, 2010 & 2011).  The lease fee shall be due and payable to School upon the effective date of this Advertising Contract.  All lease fees are nonrefundable.  If Sponsor wishes to renew its sponsorship after the conclusion of the 2011 summer baseball season, it must notify School by February 1, 2012.  Any subsequent renewal shall be at a lease fee of Three Hundred Dollars ($300) per year, plus the cost of replacing the sign, should the Sponsor desire or should this become necessary due to excessive weathering or wear and tear.

 

3.         Signs shall be 6 feet tall x 8 feet wide (48 square feet in area) and shall be affixed to the inside of the outfield fence at the Mounds View High School varsity baseball field located at 1900 Lake Valentine Road, Arden Hills, MN.  The lease fee includes production printing of Sponsor's sign.  Sponsor shall supply the sign vendor, chosen by Mounds View High School, with graphic-ready artwork and text, both of which shall be subject to School�s written approval.  In the event any alteration of graphics or text is required, School and Sponsor will mutually agree upon the final sign appearance.   Sponsor represents that it has the right to use and display all graphics and text requested and submitted and will indemnify School against any claims by any other person or organization that any text or graphics violate the copyright, trademark, or other rights of any third party.

4.         This Advertising Contract contains the entire agreement of the parties and supersedes all prior oral or written agreements.  It may not be modified except by a writing signed by both parties.  Neither party shall be liable for any incidental, special, or consequential damages in any way arising out of or related to the making, performance, or alleged non-performance of this Advertising Contract.   This Advertising Contract shall be governed exclusively by the laws of the State of Minnesota.
